Welcome to LitAmb (“we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the LitAmb website, mobile application, and services (collectively, the “Platform”).

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. Description of Service

LitAmb is a peer-to-peer (P2P) book exchange and library platform. We facilitate the exchange of books between users using a virtual currency system (“Points”). We provide the technology to list inventory, match users, secure transactions via escrow, and facilitate communication.

We are not a bookstore. We do not own, inspect, or ship the books listed by users (unless explicitly stated otherwise). The actual contract for the exchange of a book is directly between the Sender and the Receiver.

2. Eligibility

By using the Platform, you represent and warrant that:

  1. You are at least 18 years old (or at least 13 years old with the consent of a parent or guardian).
  2. You have the legal capacity to enter into a binding contract.
  3. You are resident in a supported region (currently focusing on Nigeria).

3. Account Registration & Security

  1. Accuracy: You must provide accurate, current, and complete information during the registration process.
  2. Security: You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account.
  3. Verification: We reserve the right to verify your identity. Failure to provide verification may result in account suspension.

4. Subscriptions & Payments

LitAmb operates on a paid membership model to ensure community quality.

  1. Fees: Membership fees (e.g., ₦1,000/month for Standard Tier) are billed in advance on a recurring basis.
  2. Payment Processing: Payments are processed via third-party gateways (Paystack, Flutterwave). We do not store your full card details.
  3. Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the renewal date.
  4. Refunds: Subscription fees are generally non-refundable except as required by applicable law or at our sole discretion.
  5. Cancellation: You may cancel your subscription at any time via your User Dashboard. You will retain access until the end of your current billing period.

5. The Points Economy

  1. Nature of Points: “Points” are a virtual currency used solely for exchanging books within the Platform. Points have no real-world cash value, cannot be exchanged for fiat currency (Naira, Dollars, etc.), and are not transferable outside the Platform.
  2. Earning Points: Points are earned by sending books to other users or purchasing specific top-up bundles (if available).
  3. Escrow System: To protect users, points for a transaction are held in our Escrow System.
    • When you request a book, points are deducted from your balance and held in escrow.
    • Points are released to the Sender only after you (the Receiver) confirm receipt or after a set auto-release period (e.g., 7 days after delivery confirmation) if no dispute is raised.

6. User Conduct & Marketplace Rules

A. Listing Books

  1. Ownership: You must physically own the book you are listing.
  2. Accuracy: You must accurately describe the condition of the book (e.g., “Like New,” “Dog-eared,” “Highlighted”). Misrepresenting a book’s condition is a violation of these Terms.
  3. Prohibited Items: You may not list prohibited materials, including stolen goods, hate speech, or non-book items.

B. Shipping & Delivery

  1. Responsibility: The Sender is responsible for packaging the book securely to prevent damage.
  2. Cost: Unless otherwise specified or subsidized by a specific promotion, the Receiver or Sender pays shipping costs based on the agreed arrangement within the app.
  3. Timeliness: Senders must ship the item within the timeframe specified (typically 3-5 business days) after a request is accepted.

C. Receiving Books

  1. Acceptance: You agree to inspect the book upon arrival and mark the transaction as “Received” in the dashboard within 48 hours.
  2. Disputes: If a book arrives damaged or significantly not as described, you must open a dispute before marking the order as complete. Once points are released from escrow, transactions are final.

7. Prohibited Activities

You agree not to:

  1. Use the Platform for any illegal purpose.
  2. Harass, abuse, or harm another person.
  3. Create false accounts or use bots to manipulate the Points system.
  4. Circumvent the Platform’s messaging or payment systems to conduct swaps off-platform.

8. Intellectual Property

  1. Our Content: The LitAmb logo, design, text, graphics, and software are the property of LitAmb and are protected by copyright and other laws.
  2. User Content: By posting content (e.g., book photos, reviews), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and reproduce that content for the purpose of operating and promoting the Platform.

9. Disclaimers

The Platform is provided “AS IS” and “AS AVAILABLE.”

We expressly disclaim all warranties, whether express or implied, regarding the condition, quality, or safety of books exchanged between users. We do not guarantee that books will meet your expectations or that the service will be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, LitAmb shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of or inability to access or use the Platform.
  2. Any conduct or content of any third party on the Platform, including defamatory, offensive, or illegal conduct of other users.
  3. Any books exchanged via the Service.

11. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be resolved through binding arbitration in Lagos, Nigeria, or in a court of competent jurisdiction in Nigeria.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or a notification on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
